1. Agreement to Terms

By accessing or using our AI Chatbot (“Chatbot”), you agree to be bound by these terms and conditions (“Terms”). These Terms apply to all visitors, users, and others who access or use the Chatbot. Please read them carefully.

2. License

Lean Scale DMCC grants you a revocable, non-exclusive, non-transferable, limited license to use the Chatbot solely for your personal, non-commercial purposes. You agree not to use the Chatbot for any other purpose, and you are expressly prohibited from:

2.1. Copying, modifying, or distributing the Chatbot.
2.2. Reverse engineering, or attempting to extract the underlying models, training data, or source code.
2.3. Renting, leasing, selling, sublicensing, or otherwise transferring rights to the Chatbot.

3. Intellectual Property

The Chatbot, including its conversation flows, prompts, algorithms, interface, trademarks, logos, sounds, and other related content, is owned by Lean Scale DMCC and protected by copyright and other intellectual property laws. You may not use such content without explicit permission.

4. User Content

You may input text, images, or other content into the Chatbot. By doing so, you grant Lean Scale DMCC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, analyze, distribute, and process that content in connection with the Chatbot and Lean Scale DMCC’s business.

5. Prohibited Uses

You are prohibited from using the Chatbot to:
5.1. Generate or transmit harmful, illegal, or malicious content (including malware or harmful code).
5.2. Interfere with, manipulate, or attempt to disrupt the Chatbot’s systems or models.
5.3. Engage in any activity that violates applicable laws, regulations, or ethical use policies.

6. Termination

Lean Scale DMCC may terminate or suspend your access to the Chatbot immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Chatbot will cease immediately.

7. Changes to Terms

Lean Scale DMCC reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Chatbot interface or related platform. Your continued use of the Chatbot after such changes will constitute your consent to the new Terms.

8. Disclaimer of Warranties

The Chatbot is provided "as is," and Lean Scale DMCC makes no warranty of any kind, express or implied, including but not limited to accuracy of responses, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

Lean Scale DMCC will not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Chatbot.

10. Indemnification

You agree to defend, indemnify, and hold harmless Lean Scale DMCC and its licensees and licensors, and their employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Chatbot, including but not limited to your violation of these Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law provisions.
